These Terms govern your access to and use of PharKeep websites, applications, educational resources, calculators, tools, and related services.
1. Acceptance of These Terms
These Terms of Service (“Terms”) are a binding agreement between you and PharKeep (“PharKeep,” “we,” “us,” or “our”). By accessing or using PharKeep websites, applications, tools, calculators, educational materials, account features, or related services (collectively, the “Services”), you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not access or use the Services.
2. Eligibility and Accounts
You must be legally capable of entering into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Some Services may require an account. You are responsible for maintaining the accuracy of your account information, protecting access to your account, and promptly notifying us if you suspect unauthorized access.
Google Sign-In
PharKeep may allow you to create or access an account using Google Sign-In. Your use of Google services is also subject to Google’s applicable terms and policies. PharKeep does not receive or store your Google Account password.
3. PharKeep Services
PharKeep may provide educational content, clinical reference materials, medication-related information, calculators, workflow tools, study resources, dashboards, and other web applications.
Features may vary by application and may be added, modified, suspended, or discontinued over time. Certain features may also be subject to additional terms or notices presented within the applicable Service.
4. Medical and Clinical Disclaimer
Important: PharKeep is an educational and informational resource. It is not a substitute for professional medical judgment, diagnosis, treatment, institutional policy, or an authoritative drug reference.
Clinical, medication, dosing, preparation, administration, monitoring, or other healthcare information provided through the Services may not reflect every patient-specific factor, institutional requirement, manufacturer update, regulatory change, or new scientific development.
Healthcare professionals are responsible for independently verifying information before relying on it in patient care, including against current prescribing information, authoritative references, applicable laws and regulations, institutional policies, and the individual patient’s clinical circumstances.
Calculators and decision-support tools may produce incorrect or incomplete results if inputs are inaccurate, assumptions do not apply, or underlying clinical recommendations change. You are responsible for reviewing inputs and independently confirming outputs before using them.
Nothing in the Services creates a physician-patient, pharmacist-patient, clinician-patient, or other professional healthcare relationship between PharKeep and any user.
The Services are not intended for medical emergencies. If you believe someone may be experiencing a medical emergency, contact appropriate emergency services or seek immediate professional care.
5. Protected Health Information and Sensitive Data
Unless a PharKeep feature expressly states that it is designed and authorized for the secure handling of protected health information (“PHI”), you must not submit patient-identifiable information, PHI, or other confidential healthcare information through general account fields, forms, calculators, prompts, uploads, or other Service features.
The availability of an account, login, or encrypted connection does not by itself mean that a Service is intended to receive PHI or that a HIPAA business associate relationship exists.
If you use PharKeep in connection with your employment or professional duties, you are responsible for complying with your organization’s privacy, security, confidentiality, and data-use requirements.
6. Acceptable Use
You agree not to use the Services to:
- Violate applicable law, regulation, professional obligation, or another person’s rights.
- Attempt to gain unauthorized access to accounts, systems, data, or restricted areas.
- Interfere with, disrupt, overload, probe, scan, or test the security of the Services without authorization.
- Introduce malware, harmful code, automated attacks, or other malicious content.
- Impersonate another person or misrepresent your identity or affiliation.
- Use automated means to scrape, harvest, extract, or systematically reproduce PharKeep content except where expressly permitted.
- Copy, resell, sublicense, or commercially redistribute substantial portions of the Services without written permission.
- Submit content that you do not have the right or authorization to provide.
We may take reasonable measures to protect the security, integrity, availability, and lawful use of the Services.
7. User Content
If a Service allows you to submit, upload, store, or create content (“User Content”), you retain your ownership rights in that content.
You grant PharKeep a limited, non-exclusive license to host, process, transmit, reproduce, and display User Content only as reasonably necessary to operate, secure, support, and provide the Services to you.
You represent that you have all rights and permissions necessary to submit User Content and that doing so does not violate applicable law, contractual obligations, confidentiality duties, intellectual property rights, or privacy rights.
8. Intellectual Property
The Services, including PharKeep branding, designs, software, interfaces, original text, graphics, compilations, and other materials, are owned by or licensed to PharKeep and are protected by applicable intellectual property laws.
Subject to these Terms, PharKeep grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purposes.
These Terms do not transfer ownership of PharKeep intellectual property to you. Third-party trademarks, product names, drug names, logos, and other materials remain the property of their respective owners.
9. Third-Party Services and Links
PharKeep may integrate with or link to third-party services such as authentication providers, hosting platforms, databases, analytics services, external references, or other websites.
Those services are operated independently and may have their own terms, privacy policies, availability, and security practices. PharKeep is not responsible for third-party services that we do not control.
10. Availability, Updates, and Changes to the Services
We may update, modify, add, remove, suspend, or discontinue any part of the Services at any time. We do not guarantee that a particular feature, application, calculation method, integration, or piece of content will always be available or remain unchanged.
We may perform maintenance or experience outages, technical failures, data delays, or other interruptions. You are responsible for maintaining any records or information you need independently of the Services when appropriate.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
PHARKEEP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION TO THE EXTENT PERMITTED BY LAW.
We do not warrant that information is current in every circumstance, that the Services will be uninterrupted or secure, or that errors will always be identified or corrected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHARKEEP AND ITS OWNERS, OPERATORS, AFFILIATES, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHARKEEP’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID PHARKEEP FOR THE APPLICABLE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless PharKeep and its owners, operators, affiliates, contributors, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person’s rights.
14. Suspension and Termination
You may stop using the Services at any time. Where account deletion is available, you may request deletion as described in the Privacy Policy.
We may suspend, restrict, or terminate access when reasonably necessary to address security threats, unlawful activity, material violations of these Terms, misuse of the Services, or risks to other users or systems.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and general legal provisions, will survive termination.
15. Changes to These Terms
We may update these Terms to reflect changes in the Services, technologies, legal requirements, security practices, or business operations. When we do, we will update the “Last Updated” date at the top of this page.
For material changes, we may provide additional notice when appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
16. General Terms
These Terms and the Privacy Policy constitute the agreement between you and PharKeep regarding the Services unless additional terms expressly apply to a particular feature.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. PharKeep’s failure to enforce a provision does not waive its right to do so later.
You may not assign your rights or obligations under these Terms without PharKeep’s written consent. PharKeep may assign these Terms in connection with a reorganization, merger, acquisition, transfer of assets, or similar transaction.
These Terms are governed by applicable United States law and the law applicable to the jurisdiction in which PharKeep is legally established, without regard to conflict-of-law principles, except where applicable law requires otherwise.
